If you want to dress it
 up a little more, 
sprinkle finely chopped
 nuts on top of the
cool whip or
even better,
some chocolate shavings too!!

Step One:
1 stick of butter (or marg.)
1c. flour
1c. nuts, chopped fine
Mix these 3 together.  Press in bottom of 13x9 dish, Bake @ 350 for 15  minutes. Cool completely.

Step Two:
Mix w/ elec. mixer.
1c. powder sugar
 2 (8oz.) cream cheese.
Fold in  1/2 c. cool whip till completely mixed.
Spead on top of crust and seal to dish around edges.

Step Three:
Mix 2 (4oz.) packs of Chocolate Pudding w/ 3 c. milk till thick.    Spread on top.
Use the rest of the cool whip to top it off.  Chill.  Mmmm!
